This paper critically re-evaluates the fiduciary duty construct within Anglo-American governance paradigms, interrogating its continued applicability in multi-stakeholder environments characterised by intensified regulatory scrutiny and non-financial value creation imperatives. Drawing on a mixed-methods research design — combining systematic literature synthesis with comparative institutional analysis across OECD jurisdictions — the study identifies structural tensions between shareholder value maximisation and long-term enterprise sustainability. Findings indicate that stakeholder-centric governance models demonstrably outperform shareholder-primary counterparts on composite performance indices over five-year horizons. <p>This study investigates the structural divergence between symbolic ESG disclosure practices and substantive operational integration within mid-cap manufacturing enterprises across three emerging economies. Drawing on institutional theory and neo-institutional isomorphism, the research employs a mixed-methods design combining quantitative panel data analysis (n = 214 firm-years, 2019–2023) with semi-structured executive interviews across 18 organizations. Findings reveal that coercive regulatory pressures predominantly drive surface-level compliance, while normative and mimetic pressures correlate positively with deeper operational embedding of sustainability metrics. Mediation analysis indicates that internal governance maturity significantly moderates the decoupling effect. <p>Contemporary corporate governance frameworks have increasingly positioned stakeholder theory as a normative corrective to shareholder primacy, yet empirical validation of this transition remains fragmentary. This study critically interrogates the stakeholder governance paradox—wherein managerial accountability to plural stakeholder constituencies generates structural tensions that undermine organizational coherence and strategic alignment. Drawing on institutional logics theory and a mixed-methods design encompassing 312 publicly listed firms across emerging and advanced economies, we demonstrate that unmediated stakeholder pluralism significantly attenuates decision-making velocity and capital allocation efficiency. However, organizations exhibiting high degrees of structural ambidexterity successfully reconcile these competing logics.
